SEATTLE, Wash., December 18, 2007 - Applied Precision®, LLC, a leading provider of imaging, measurement and analysis systems for both the semiconductor and life science industries, today announced the sale of its Semiconductor Division to Rudolph Technologies, Inc. (NASDAQ: RTEC), a worldwide leader in the design, development, manufacture and support of high-performance process control metrology, defect inspection and data analysis systems used by semiconductor device manufacturers.

"Rudolph's strengths in distribution and service provide an ideal complement to our products and customers", said Applied Precision CEO Ronald Seubert. "The acquisition by Rudolph combines two successful companies with complementary Semiconductor products and technologies, and will accelerate Rudolph's efforts to be a more complete supplier of back-end equipment and software". Terms of the transaction include a combination of cash and Rudolph Technologies common stock. Rudolph has scheduled a conference call to discuss the acquisition for 0930 EST, Thursday, December 20, 2007.

Applied Precision will continue operating it's Life Sciences business unit anchored by its DeltaVision® product line focused on microscopy based imaging systems and it's OEM products including the arrayWoRx® scanner platform and precision control solutions. Seubert will continue as CEO and Joseph Victor (formerly Sr. Vice President, Life Sciences) will assume the role of President of the new organization.
